Terms and Conditions


1. Scope and Contracting Party
1.1 These Terms and Conditions apply to all contracts between Wilkening Lars (sole proprietor), Grüber Str. 16, 91522 Ansbach, Germany (hereinafter referred to as the "Provider") and its customers (hereinafter referred to as the "Customer").
1.2 The Provider offers services in website development, social media management, and digital business solutions.
1.3 Any deviating terms and conditions proposed by the Customer shall not apply unless expressly agreed to in writing by the Provider.
 

2. Description of Services
2.1 The Provider offers the following services:

  • Development and optimisation of websites and online stores

  • Social media management, including content creation and performance analysis

  • Integration and optimisation of automation and AI tools

2.2 The exact scope of services will be specified in an individual offer, which becomes part of the contract.
2.3 Any modifications or additions to the agreed-upon services require a written agreement between the parties.


3. Contract Formation and Payment Terms
3.1 A contract is concluded when the Customer accepts a written offer from the Provider or receives a written order confirmation from the Provider.
3.2 All prices are stated net of applicable taxes, unless otherwise required by law.
3.3 Payments are due within 14 days of invoicing, without deductions.
3.4 For projects requiring a longer timeframe, the Provider reserves the right to require a deposit or installment payments.


4. Customer Obligations
4.1 The Customer must provide the Provider with all necessary information, data, and materials in a timely manner to enable the fulfillment of the agreed services.
4.2 The Customer is responsible for ensuring that the provided content does not infringe on third-party rights (e.g., copyrights, trademarks).
4.3 If delays occur due to incomplete or late cooperation by the Customer, the project timeline will be extended accordingly.

 

5. Liability and Warranty
5.1 The Provider shall only be liable for damages caused by intentional misconduct or gross negligence. In cases of ordinary negligence, the Provider is only liable for breaches of essential contractual obligations, and liability is limited to foreseeable, typical damages.
5.2 The Provider assumes no liability for the content provided by the Customer.
5.3 The Provider is not responsible for any malfunctions or issues caused by third-party services (e.g., Wix, Google Analytics).


6. Copyright and Usage Rights
6.1 All works created by the Provider (e.g., websites, designs, texts) remain the property of the Provider until full payment has been received.
6.2 Upon full payment, the Customer is granted a non-transferable, non-exclusive right to use the created works.
6.3 The Provider is entitled to use the created works for self-promotional purposes (e.g., as a reference on the Provider’s website), unless the Customer expressly objects.


7. Data Protection
7.1 The Provider commits to handling the Customer’s personal data in accordance with applicable data protection laws (EU GDPR, UK GDPR, and relevant US privacy laws).

8. Contract Duration and Termination
8.1 For one-time projects, the contract automatically ends upon full completion of the agreed services.
8.2 For ongoing services (e.g., social media management), either party may terminate the contract with four weeks’ notice to the end of the month.
8.3 The right to immediate termination for good cause remains unaffected.


9. Final Provisions
9.1 The contract shall be governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules.
9.2 If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain unaffected.
9.3 The place of jurisdiction for all disputes arising from this contract shall be the Provider’s registered office, provided the Customer is a business entity or a public law entity.
